3. Client Responsibilities

• Make timely payments according to agreed terms

• Maintain confidentiality of proprietary methodologies shared during consulting
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. General terms include:

• Consultation fees are due upon scheduling unless otherwise agreed
• Project fees may require deposits or milestone payments
• Late payments may incur additional charges
• Refunds are subject to the terms of individual service agreements

5. Confidentiality

• Return or destroy confidential materials upon completion of services

6. Intellectual Property

Intellectual property rights are allocated as follows:

• Client retains ownership of all pre-existing intellectual property
• SJ Business Consulting retains ownership of proprietary methodologies and frameworks
• Work products created specifically for the client become client property upon full payment
• General knowledge and experience gained remain with SJ Business Consulting

7. Limitation of Liability

Our consulting services are advisory in nature. Important limitations include:

• We provide recommendations based on available information and best practices
• Implementation decisions and results remain the client's responsibility
• We cannot guarantee specific business outcomes or results
• Our liability is limited to the fees paid for the specific service in question
• We are not liable for indirect, consequential, or punitive damages

8. Professional Standards

We adhere to high professional standards including:

• Providing services with professional competence and due care
• Maintaining objectivity and independence in our recommendations
• Avoiding conflicts of interest or disclosing them when they arise
• Continuing professional development to maintain expertise
• Compliance with applicable professional and ethical standards

9. Termination

Either party may terminate the consulting relationship:

• With written notice as specified in the service agreement
• Immediately for material breach of these terms
• Upon completion of the agreed scope of work

Upon termination, payment is due for all services rendered through the termination date.

10. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through binding arbitration in Broward County, Florida, under the rules of the American Arbitration Association. Florida law governs these terms and any disputes.

11. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated terms.
